In these terms and conditions the family (hereinafter referred to as the Client) receives an introduction from IQEI Ltd. (hereinafter referred to as the Agent) for the services of a tutor or mentor (hereinafter referred to as the Tutor).
The Client agrees to pay the Agent an agreed rate in the event of meeting and engaging a Tutor.
The Client agrees to pay any invoice for tuition services within 14 calendar days of the date of the invoice.
Tuition fees are non-refundable once tuition sessions have taken place.
If the Client cancels a tuition session within 24 hours, the Client agrees to pay for the session.
The Client is not permitted to make private arrangements for tuition with a Tutor introduced by the Agent. Should a Client breach this obligation, they will be liable to pay the Agent a procurement fee of £6,000 + VAT. This obligation shall continue notwithstanding termination of the engagement of the Agent.
The Agent does not accept any liability for any claims by the Client relating to or arising from a Tutor’s engagement.
The decision of a Client to request a Tutor shall form acceptance of these terms and conditions.
The Tutor agrees to invoice the Agent each month for all tuition sessions carried out in the previous month.
The Agent will invoice the Client each month for tuition sessions having taken place in the previous month.
The Agent will transfer the Tutor’s fee within 14 days of receipt of the Client’s payment. The Tutor may request written permission from the Agent to invoice the Client directly if payment has not been received within 28 days.
For taxation purposes, the Tutor agrees that they are self-employed and are not employees of the Agent.
For any Client introduced by the Agent the Tutor must conduct all invoicing through the Agent.
The Tutor agrees to declare to the Agent any new clients referred to the Tutor by the Client or the Client’s associates and to conduct all related invoicing through the Agent.
The Agent shall not be liable for any loss or expense incurred by the Tutor.
The Tutor will maintain confidentiality and discretion about all matters relating to the Client. The Tutor is likely to be subjected to information regarding the Client’s work, private life, schedule and other business; the Tutor agrees to keep the information private and confidential.
The agreement of a Tutor to meet a Client forms acceptance of these terms and conditions.
The performance of all terms and conditions will be governed and construed in accordance with the laws of England and Wales.
